This Registrant Agreement governs every domain name you register, renew, or transfer through WebEstate Domains ("WebEstate", "we", "us"). WebEstate is an authorized reseller of Tucows Domains Inc. ("Tucows"), operating through the OpenSRS distribution channel. Your registration is therefore also governed by Tucows' Master Domain Registration Agreement, which is incorporated into this Agreement by reference and prevails in the event of any conflict on registry-mandated terms.
Read the upstream agreement here: Tucows Master Domain Registration Agreement. TLD-specific provisions are at opensrs.com/wp-content/uploads/TLD_clauses.html.
1. Registrant rights and responsibilities
Your full ICANN-defined rights and responsibilities as a registrant are published at icann.org/resources/pages/responsibilities-2014-03-14-en. You agree to abide by all ICANN consensus policies and any policies of the relevant registry operator for each TLD you register.
2. Accuracy of registrant information
You represent and warrant that all information you supply for the registration, maintenance, or renewal of a domain is complete and accurate, and that you will keep it current. Knowingly providing false WHOIS information, or failing to respond to inquiries from WebEstate or Tucows about the accuracy of your contact details, is a material breach and may result in immediate suspension or cancellation of the registration without refund.
3. Designated Agent and change of registrant
Pursuant to ICANN's Transfer Policy, you explicitly authorize Tucows to act as your Designated Agent to approve a Change of Registrant on your behalf. This means that updates to registrant contact information may be processed without an additional confirmation email to the prior or new registrant. You may opt out of this designation by contacting us in writing before initiating the change.
4. Fees and refunds
You agree to pay WebEstate the published price for each registration, renewal, transfer, and add-on service prior to provisioning. All domain fees are non-refundable once the registration or renewal has been submitted to the registry, including if the registration is later suspended, cancelled, transferred, or deleted. Tucows bills WebEstate in U.S. dollars; we are not responsible for changes in retail price due to currency fluctuations.
5. Term, expiration, and renewal
Domains are registered for the term you select and paid for at registration. We send renewal reminders by email approximately 30 days and 5 days before expiration, and again 3 days after expiration. If you fail to renew on time, the domain will cease to resolve, WHOIS records may be revised to display Tucows or its reseller, and visitors may be directed to a default page. After expiration there is a redemption grace period during which restoration is possible at the registry-set redemption fee plus our handling fee. After the grace period the domain may be assumed by Tucows, deleted, or sold to a third party at Tucows' discretion.
6. Transfers
Domains may be transferred between accredited registrars per ICANN's Transfer Policy. Per ICANN rules, domains are locked from outbound transfer for 60 days following registration or a prior change-of-registrar transfer. WHOIS Privacy must be disabled before initiating an outbound transfer.
7. WHOIS Privacy service
If you enable WHOIS Privacy, the publicly visible registrant contact information is replaced with proxy details provided by Contact Privacy Inc. (a Tucows affiliate). You retain full control of the domain and may suspend or reinstate the service at any time. Tucows reserves the right to suspend privacy and reveal your underlying contact data when required by law, legal process, a UDRP or registry dispute, to avoid civil or criminal liability, or where there is a good-faith belief that the privacy service is being used to conceal phishing, malware distribution, spam, or other prohibited activity.
8. UDRP and dispute resolution
Your registration is subject to the Uniform Domain-Name Dispute-Resolution Policy (UDRP), the Uniform Rapid Suspension (URS) procedure, and any applicable ccTLD or registry-specific dispute policy. If a complaint is filed against your domain with a judicial or administrative body, Tucows may suspend the domain and lock its records until the dispute is resolved or directed otherwise by the body of competent jurisdiction. You agree to indemnify and hold WebEstate and Tucows harmless from any third-party claim arising out of your registration or use of the domain.
9. Suspension and cancellation
WebEstate or Tucows may suspend or cancel your domain registration without refund if you breach this Agreement, fail to provide payment or accurate contact information, as required by ICANN or the relevant registry, to comply with law or law-enforcement requests, in response to UDRP or URS proceedings, to combat DNS abuse (phishing, malware, botnet command-and-control, child sexual abuse material, illegal pharma, or spam infrastructure), or to avoid civil or criminal liability.
10. Acceptance logging
At checkout we record the date, time, IP address, and version of this Agreement that you accepted. You agree we may produce that record to ICANN, Tucows, a registry operator, or law enforcement on request, in order to demonstrate compliance with the ICANN Transfer Policy and the Tucows Master Agreement.
11. Trademark Clearinghouse (TMCH)
For new gTLDs covered by the Trademark Clearinghouse, you agree to abide by the terms and conditions of the TMCH and any sunrise or trademark-claims notices presented at the time of registration.
12. DNSSEC
We support DNSSEC by relaying public key material to registries that support it. Standard registry-defined fees may apply.
13. Limitation of liability
Our total liability for any claim arising out of or related to a domain registration is limited to the amount you paid us for the initial registration term of that specific domain. Neither WebEstate, Tucows, ICANN, nor any registry operator will be liable for lost profits, lost revenue, lost data, or any indirect, special, consequential, exemplary, or punitive damages, even if advised of their possibility.
14. Indemnification
You will defend, indemnify, and hold harmless WebEstate, Tucows, ICANN, the applicable registry operators, and their respective directors, officers, employees, agents, affiliates, and contractors from any liability, claim, or expense (including reasonable attorneys' fees) arising out of (a) your registration or use of the domain; (b) use of the domain in violation of this Agreement; or (c) your violation of any third-party right, including intellectual property rights.
15. Privacy
Information you provide is processed under our Privacy Policy and Tucows' OpenSRS Privacy Policy, both incorporated by reference. The Minimum Data required by each TLD is shared with Tucows and the relevant registry operator, and may be archived with an ICANN-approved third-party escrow provider.
16. Governing law
The reseller relationship between you and WebEstate is governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles. The upstream registration relationship between you and Tucows is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, as set out in the Tucows Master Agreement.
17. Modifications
We may modify this Agreement to comply with changes to ICANN, registry, or Tucows policy, or to reflect changes in our service. The current version is always available at this URL. Your continued use of the domain after changes are posted constitutes acceptance. If you do not agree to a change, your sole remedy is to transfer the domain to another accredited registrar.
18. Inconsistencies
If any term of this Agreement is inconsistent with a term, condition, policy, or procedure of an applicable registry or with the Tucows Master Domain Registration Agreement, the registry or Tucows term prevails to the extent of the inconsistency.
